RELIEFCLIX PHARMACIST AND PHARMACY TECHNICIAN AGREEMENT TERMS AND CONDITIONS

This Agreement is between ReliefClix Inc. (“ReliefClix”) and the individual identified in the ReliefClix account or shift confirmation as the pharmacist, pharmacy technician, or other healthcare professional (“Professional”).
By registering with ReliefClix, accepting a shift, selecting “I Accept,” or performing services through the ReliefClix platform, the Professional agrees to this Agreement.
1. Definitions
“App” means the ReliefClix application, website, and related technology platform.
“Client” means the pharmacy, healthcare provider, or organization where the Professional performs an accepted shift.
“Shift” means a temporary work assignment accepted by the Professional through the App, including the date, time, location, duties, rate, and other details shown in the shift confirmation.
“Professional Fees” means the compensation payable to the Professional for completed hours, together with any approved expenses or allowances.
2. Relationship with ReliefClix
ReliefClix provides a platform and coordination service that allows Professionals to view and accept temporary healthcare shifts.
The Professional is not guaranteed any minimum number of shifts, hours, income, or future work.
The Professional may accept or decline available shifts and may provide services to other clients, businesses, or organizations, subject to professional, legal, and confidentiality obligations.
Nothing in this Agreement prevents the Professional from maintaining other employment or business relationships.
The parties intend to create a contract for services. The actual legal status of the relationship will depend on the facts and circumstances of how the services are performed.
3. Eligibility and Professional Registration
The Professional represents and warrants that they:
Are legally entitled to work in Canada;
Hold current registration, licensing, or authorization required to perform the accepted Shift;
Are in good standing with the applicable provincial or territorial regulatory authority;
Are not suspended, restricted, or prohibited from performing the duties;
Have accurately disclosed their registration category and professional qualifications;
Will notify ReliefClix immediately of any suspension, restriction, complaint, investigation, discipline, limitation, or change in registration status; and
Will provide documents reasonably requested by ReliefClix to verify identity, registration, qualifications, training, or insurance.
The Professional must not accept a Shift that exceeds their education, training, competence, registration, authorization, or lawful scope of practice.
4. Shift Acceptance
A Shift is accepted when the Professional confirms acceptance through the App or another approved ReliefClix communication channel.
The shift confirmation may include:
Client name and location;
Date and scheduled hours;
Professional category;
Hourly rate;
Duties and required qualifications;
Approved expenses or allowances;
Contact information;
Special instructions; and
Timesheet requirements.
The Professional must review the shift details before accepting the Shift and must promptly report any error or conflict.
The Professional must personally perform the accepted Shift unless ReliefClix and the Client approve a replacement in writing. The Professional must not transfer, assign, or subcontract a Shift without prior written approval.
5. Professional Duties
During a Shift, the Professional must:
Perform duties carefully, competently, and professionally;
Comply with applicable legislation, regulatory standards, bylaws, policies, and codes of ethics;
Follow lawful Client procedures;
Exercise independent professional judgment;
Protect patient safety;
Maintain accurate records;
Ask for clarification where instructions are unclear or unsafe;
Report errors, incidents, injuries, complaints, privacy concerns, or safety issues promptly; and
Complete the duties identified in the Shift confirmation.
The Professional must not perform duties that are unlawful, outside their scope of practice, unsafe, or beyond their competence.
The Professional retains responsibility for their professional judgment and must refuse or escalate any instruction that would breach a legal or professional obligation.
6. Attendance and Punctuality
The Professional must attend the Shift at the confirmed location and time and remain available for the scheduled hours unless:
The Client authorizes an early departure;
ReliefClix authorizes a change;
An emergency prevents attendance; or
Continuing work would be unsafe or unlawful.
The Professional must notify both ReliefClix and the Client as soon as reasonably possible if they will be late, absent, or unable to complete the Shift.
Repeated lateness, non-attendance, leaving without authorization, or failure to communicate may result in suspension or removal from the ReliefClix platform.
7. Cancellation by the Professional
The Professional should not cancel an accepted Shift except for illness, emergency, safety concern, regulatory concern, or another serious reason.
If the Professional must cancel, they must notify ReliefClix and the Client immediately and provide reasonable supporting information if requested.
ReliefClix may take one or more of the following actions for late or repeated cancellations:
Remove the Professional from the Shift;
Reduce or withhold payment for hours not worked;
Suspend the Professional’s account;
Restrict access to future shifts;
Require a replacement or other reasonable recovery costs where legally permitted; or
Terminate this Agreement.
No deduction will be made from Professional Fees unless permitted by law and clearly authorized under this Agreement or another written agreement.
8. Payment
ReliefClix will pay the Professional for approved hours actually worked at the rate shown in the shift confirmation.
The Professional must accurately record start time, end time, breaks, approved additional hours, and any approved expenses through the App or timesheet process.
Professional Fees will normally be paid within [number] business days after:
The Shift is completed;
The timesheet is submitted; and
The Client or ReliefClix confirms the hours.
ReliefClix may reasonably investigate a disputed timesheet, suspected fraud, duplicate submission, or other payment irregularity before releasing the disputed amount. Undisputed amounts will not be delayed unnecessarily.
The Professional is responsible for ensuring that their payment, banking, contact, and tax information is accurate.
9. Taxes and Business Obligations
Unless required by law or otherwise agreed in writing, ReliefClix will not deduct income tax, Canada Pension Plan contributions, Employment Insurance premiums, or other payroll deductions from Professional Fees.
The Professional is responsible for obtaining independent tax advice and for satisfying all personal or business tax obligations arising from amounts received.
The Professional must notify ReliefClix if they are required to register for GST/HST or another applicable sales tax and must provide valid registration information before charging such tax.
Nothing in this section changes the parties’ legal obligations if a government authority determines that the relationship is employment or otherwise subject to payroll deductions.
10. Professional Liability Insurance
The Professional must maintain personal professional liability insurance and any other insurance required by the applicable regulatory authority or law.
The Professional must provide proof of insurance upon request and must ensure that the policy covers the professional services performed during ReliefClix shifts.
For Ontario registrants, the Ontario College of Pharmacists requires personal professional liability insurance for practising registrants, including minimum coverage of $2 million per claim and $4 million annually.
The Professional must immediately notify ReliefClix of any cancellation, expiry, restriction, or material change to insurance coverage.
11. Client Workplace and Safety
The Professional must comply with reasonable Client workplace policies, including policies concerning:
Health and safety;
Workplace violence and harassment;
Infection prevention and control;
Privacy and information security;
Medication and prescription handling;
Emergency procedures; and
Use of equipment and pharmacy systems.
The Professional may refuse work that they reasonably believe is unsafe, unlawful, outside their professional authority, or likely to endanger a patient, themselves, or another person.
The Professional must report unsafe conditions to the Client and ReliefClix promptly.
12. Confidentiality and Patient Information
The Professional may receive confidential information, including patient information, prescription information, health information, personal information, business information, passwords, and proprietary Client information.
The Professional must:
Use confidential information only to perform the Shift;
Access only the information reasonably necessary for the Shift;
Keep passwords and access credentials confidential;
Not photograph, copy, download, remove, or disclose information without authorization;
Not discuss patients or Client information in public or on social media;
Return or securely delete information when required; and
Comply with applicable privacy laws, including PHIPA where applicable.
The Professional must notify ReliefClix and the Client immediately, and preferably within 24 hours, of any suspected privacy breach, unauthorized access, lost record, misdirected communication, or security incident.
These obligations continue after the Shift and after termination of this Agreement.
13. Professional Conduct
The Professional must not:
Attend a Shift while impaired by alcohol, drugs, medication, fatigue, or any other condition affecting safe practice;
Engage in harassment, discrimination, violence, bullying, or inappropriate conduct;
Falsify records, timesheets, qualifications, or registration information;
Use a Client’s systems or information for an unauthorized purpose;
Solicit patients or misuse Client confidential information;
Accept payment from a patient for services connected with a Shift unless authorized;
Bring an unauthorized person to the Client location; or
Represent that ReliefClix guarantees employment or future work.
14. Incidents, Complaints, and Investigations
The Professional must immediately report to ReliefClix:
Dispensing or medication errors;
Patient complaints;
Workplace injuries;
Privacy or security incidents;
Regulatory concerns;
Allegations of misconduct;
Any investigation by a licensing authority; and
Any event that could reasonably result in a claim against the Professional, Client, or ReliefClix.
The Professional must cooperate reasonably with investigations, insurance claims, regulatory processes, and legal requirements, while preserving all applicable professional and legal rights.
15. Direct Engagement with Clients
The Professional may not intentionally bypass ReliefClix fees by privately arranging payment or work with a Client introduced through the ReliefClix platform during an active Shift or during the six months after the last completed Shift.
If the Professional wishes to accept direct employment or contract work from a Client introduced through ReliefClix, the Professional must notify ReliefClix before accepting the engagement.
Any placement or conversion fee will be payable by the Client unless a separate written agreement states otherwise. ReliefClix will not deduct a conversion fee from the Professional’s earned Professional Fees unless the Professional separately agrees in writing and the deduction is lawful.
This section does not restrict the Professional from continuing a documented relationship that existed before the introduction through ReliefClix.
16. Account Information and Electronic Communications
The Professional must keep their account information current and accurate.
The Professional is responsible for protecting their password and must promptly report unauthorized account access.
The Professional consents to receiving shift-related communications through the App, email, telephone, text message, or push notification.
Selecting “I Accept,” clicking a button, checking a box, using an electronic signature, or otherwise accepting this Agreement electronically constitutes the Professional’s signature and agreement.
17. Suspension and Termination
ReliefClix may suspend or terminate the Professional’s account or this Agreement where:
The Professional breaches this Agreement;
Registration, insurance, or qualifications cannot be verified;
The Professional’s registration is suspended, restricted, or expired;
The Professional creates a patient safety, privacy, legal, or regulatory risk;
The Professional repeatedly cancels or fails to attend Shifts;
The Professional submits inaccurate or fraudulent information; or
The Professional engages in misconduct.
The Professional may terminate this Agreement by written notice to ReliefClix. Termination does not cancel an accepted Shift unless ReliefClix confirms the cancellation.
Termination does not affect payment for approved hours already worked or obligations concerning confidentiality, privacy, taxes, insurance, incidents, direct engagement, or disputes.
18. No Guarantee of Future Work
ReliefClix does not guarantee:
A minimum number of Shifts;
A minimum income;
Acceptance by any Client;
Continued access to the App;
The availability of any particular location; or
That every Shift will proceed as posted.
19. Responsibility for Professional Services
The Professional is responsible for their own professional acts, omissions, judgment, records, and compliance with applicable professional requirements.
The Professional is not responsible for Client-controlled matters such as the Client’s premises, equipment, staffing levels, policies, systems, or instructions, except to the extent the Professional caused or contributed to the loss through negligence, misconduct, or breach of this Agreement.
Nothing in this Agreement removes any liability that cannot legally be excluded or limits liability for fraud, wilful misconduct, or gross negligence.
20. Governing Law
This Agreement is governed by the laws of the province or territory where the Professional performs the applicable Shift, together with applicable federal laws of Canada.
If a dispute relates to a Shift performed in Ontario, Ontario law will apply and the parties submit to the courts of Ontario, subject to mandatory legal requirements.
21. General
This Agreement, together with each accepted shift confirmation and ReliefClix’s Privacy Policy, forms the agreement between ReliefClix and the Professional concerning participation in ReliefClix shifts.
If any provision is found invalid or unenforceable, the remaining provisions will continue in effect.
Failure to enforce a provision is not a waiver of the right to enforce it later.
The Professional may not assign this Agreement or transfer an accepted Shift without ReliefClix’s written approval.
22. Professional Acceptance
By registering with ReliefClix, accepting a Shift, performing services, or selecting “I Accept,” the Professional confirms that they:
Have read and understood this Agreement;
Have provided accurate registration and qualification information;
Will maintain all required registration and insurance;
Have had the opportunity to obtain independent legal and tax advice; and
Agree to be legally bound by this Agreement.
